Graduate Program Terms & Conditions
Effective date: 1 July 2026
These Terms and Conditions apply to enrolment in a graduate program delivered by FOS Collective Pty Ltd ABN 89 655 956 013, trading as Elite Interior Design Academy (“EIDA”, “we”, “us” or “our”).
By submitting an application, accepting an enrolment offer, making payment, selecting an online acceptance box or participating in the Program, the Participant agrees to these Terms and Conditions.
1. Definitions
In these Terms:
Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
Enrolment Confirmation means the written confirmation issued by EIDA accepting the Participant into the Program.
Fees means the fees stated in the Enrolment Confirmation or Program Schedule.
Participant means the individual accepted into and enrolled in the Program.
Program means the EIDA graduate mentoring, coaching or professional development program identified in the Enrolment Confirmation.
Program Materials means all frameworks, presentations, recordings, videos, workbooks, templates, checklists, exercises, scripts, documents, methods and other resources supplied by EIDA.
Program Schedule means the document or communication setting out the Program dates, format, inclusions, delivery method and Fees.
2. Contractual documents
The agreement between EIDA and the Participant consists of:
-
the Enrolment Confirmation;
-
the Program Schedule;
-
these Terms and Conditions;
-
any approved payment plan;
-
EIDA’s Privacy Policy; and
-
any additional written conditions expressly accepted by both parties.
If there is an inconsistency, the documents will apply in the order listed above unless expressly stated otherwise.
3. Nature of the Program
The Program is an independent professional development and mentoring service intended to complement formal interior design, interior architecture or related education.
The Program may address:
-
workplace readiness;
-
professional communication;
-
client and stakeholder management;
-
presentation and articulation of design ideas;
-
workplace conduct and expectations;
-
commercial awareness;
-
project roles and responsibilities;
-
confidence, emotional intelligence and self-awareness;
-
career positioning;
-
feedback and workplace dynamics;
-
leadership and professional progression; and
-
other practical industry capabilities identified in the Program Schedule.
The Program is not intended to duplicate all technical or academic content taught by universities, TAFEs, colleges or Registered Training Organisations.
4. Accreditation and academic status
Unless EIDA expressly confirms otherwise in a separate written agreement:
-
EIDA is not a university, higher education provider or Registered Training Organisation;
-
the Program is not an Australian Qualifications Framework qualification;
-
enrolment does not create university or institutional enrolment;
-
the Program does not independently provide academic credit, recognised units of competency or credit towards an academic transcript;
-
an EIDA certificate is a private professional development certificate and must not be represented as an accredited qualification; and
-
any recognition, credit or exemption offered by an external institution is entirely subject to that institution’s approval.
5. Applications and screening
Admission may be subject to an application or screening process.
EIDA may consider:
-
the applicant’s current stage of study or career;
-
professional goals;
-
suitability for the relevant Program level;
-
capacity to participate;
-
willingness to contribute respectfully;
-
alignment with the Program’s intended cohort; and
-
available places.
Submission of an application does not guarantee admission.
EIDA may decline an application where it reasonably considers that the Program is not suitable for the applicant, the cohort is full, the applicant does not meet published eligibility requirements or participation may adversely affect the Program or other participants.
6. Eligibility and information
The Participant confirms that all information provided to EIDA is accurate and complete.
The Participant must disclose before enrolment any relevant accessibility requirements, scheduling restrictions or circumstances that may materially affect participation.
Unless EIDA agrees otherwise in writing, Participants must be at least 18 years of age. Where a Participant is under 18, enrolment requires the written consent of a parent or legal guardian and may be subject to additional participation conditions.
7. Program inclusions
The Program will include the services identified in the Program Schedule.
Depending on the Program, inclusions may consist of:
-
live group coaching sessions;
-
in-person workshops;
-
virtual sessions;
-
individual mentoring sessions;
-
Program Materials;
-
practical exercises;
-
reflection or application activities;
-
group discussions;
-
guest contributors;
-
implementation resources; and
-
a certificate subject to completion requirements.
Anything not expressly included in the Program Schedule is excluded.
Additional services requested by the Participant may attract additional Fees.
8. Program changes
EIDA may make reasonable changes to:
-
session sequencing;
-
session dates;
-
delivery location;
-
virtual delivery platforms;
-
facilitators or guest contributors;
-
examples and case studies;
-
Program Materials; or
-
the order in which content is delivered.
EIDA will not make a change that materially reduces the overall Program without offering an appropriate remedy, such as replacement content, an alternative session, a transfer, a proportionate credit or another reasonable solution.
Where reasonably practicable, EIDA will provide advance notice of material changes.
9. Attendance and participation
The Participant is responsible for:
-
attending scheduled sessions punctually;
-
completing any reasonable preparation or application activities;
-
participating respectfully;
-
maintaining the confidentiality of other participants;
-
ensuring access to suitable technology for virtual delivery;
-
complying with reasonable facilitator directions; and
-
notifying EIDA as soon as possible of an anticipated absence.
The Participant acknowledges that outcomes depend partly on attendance, engagement and application.
Failure to attend does not automatically entitle the Participant to a refund, repeat session or individual replacement session.
EIDA may provide a recording, summary or alternative resource where available, but is not required to record sessions or recreate missed live experiences.
10. Individual mentoring sessions
Where individual mentoring is included:
-
sessions must be booked within the timeframe specified by EIDA;
-
unused sessions expire at the end of that timeframe unless EIDA approves an extension;
-
at least 48 hours’ notice must be provided to reschedule;
-
a session cancelled with less than 48 hours’ notice may be treated as used, except in genuine emergencies;
-
one reasonable reschedule may be permitted subject to availability; and
-
mentoring access is limited to the duration and scope stated in the Program Schedule.
Messages, emails or questions outside scheduled sessions do not create unlimited access to EIDA or its facilitators.
11. Participant conduct
Participants must not:
-
engage in bullying, harassment, discrimination, intimidation or threatening conduct;
-
disrupt sessions or repeatedly prevent others from participating;
-
disclose confidential participant information;
-
record sessions without written approval;
-
copy, distribute or commercially exploit Program Materials;
-
misrepresent their association with EIDA;
-
make false claims regarding certification or accreditation;
-
promote competing products or services within the Program without approval; or
-
engage in conduct that is unlawful or reasonably likely to damage EIDA, its facilitators or other participants.
EIDA may issue a warning, impose reasonable participation conditions, temporarily suspend access or terminate enrolment where conduct is serious or repeated.
Where reasonably appropriate, EIDA will give the Participant an opportunity to respond before termination. Immediate suspension or termination may occur where necessary to protect safety, confidentiality, intellectual property or the integrity of the Program.
12. Fees and GST
Fees are stated in Australian dollars and include GST unless expressly stated otherwise.
The Participant must pay the Fees in accordance with the Enrolment Confirmation or approved payment plan.
A place is not secured until:
-
the Enrolment Confirmation has been issued;
-
these Terms have been accepted; and
-
the required payment has cleared.
EIDA may offer payment plans at its discretion. A payment plan does not reduce the total Fees payable.
13. Payment plans
Where a payment plan is approved:
-
payments must be made on the agreed dates;
-
the Participant authorises EIDA or its payment provider to process scheduled payments;
-
the Participant must maintain valid payment details;
-
failed payments must be rectified within five business days after notice;
-
EIDA may suspend access while an overdue amount remains unpaid; and
-
reasonable third-party dishonour or recovery costs may be charged where they are actually incurred.
Participation in part of the Program does not automatically cancel the remaining payment obligation.
Where a Participant validly cancels or withdraws under these Terms, future payment obligations will be adjusted in accordance with the applicable refund or cancellation provision.
14. Participant withdrawal before commencement
A Participant may withdraw by emailing info@foscollective.com.au.
Unless a different withdrawal policy is stated in the Enrolment Confirmation:
More than 21 calendar days before commencement
The Participant may receive a refund of Fees paid, less:
-
payment processing charges actually incurred and not recoverable by EIDA; and
-
the reasonable value of any individual services or customised materials already supplied at the Participant’s request.
Alternatively, the Participant may request one transfer to a future equivalent intake, subject to availability.
Between 8 and 21 calendar days before commencement
The Participant may choose:
-
a refund of 50% of the Program Fees; or
-
one transfer of the amount paid to a future equivalent intake within 12 months, subject to availability.
Seven calendar days or less before commencement
A change-of-mind refund is not ordinarily available.
EIDA may permit one transfer to a future equivalent intake where a written request is received before the Program commences and a suitable future intake is available.
These provisions do not limit rights arising under the Australian Consumer Law.
15. Withdrawal after commencement
Once the Program has commenced, change-of-mind refunds are not ordinarily available.
A Participant who withdraws remains responsible for Fees that became payable before the effective withdrawal date, subject to:
-
the Australian Consumer Law;
-
any approved deferral;
-
an accepted exceptional-circumstances application; and
-
any service EIDA has failed to provide.
The effective withdrawal date is the date EIDA receives written notice.
Ceasing attendance without written notice does not constitute formal withdrawal.
16. Exceptional circumstances
A Participant may request a deferral, credit or proportionate refund where serious circumstances materially prevent participation, including:
-
significant illness or injury;
-
bereavement;
-
serious family emergency;
-
unexpected caring responsibilities;
-
substantial academic disruption outside the Participant’s control; or
-
another comparable circumstance.
The request must be made as soon as reasonably possible and may need to be supported by appropriate evidence.
EIDA will assess the request reasonably, taking into account:
-
when the circumstances arose;
-
the proportion of the Program already delivered;
-
resources already supplied;
-
costs already incurred;
-
whether a deferral is practical;
-
the Participant’s prior attendance; and
-
the impact on the remaining cohort.
17. Deferrals
Any deferral:
-
is subject to approval and availability;
-
applies to an equivalent future Program where reasonably available;
-
must generally be used within 12 months;
-
may be limited to one deferral;
-
is personal and cannot be transferred to another person; and
-
may require payment of any difference where the future Program has materially different inclusions or pricing.
No additional charge will apply solely because the standard price of an equivalent deferred Program has increased, unless the Participant requests an upgraded or materially different service.
18. Cancellation or postponement by EIDA
EIDA may postpone or cancel a Program due to:
-
insufficient enrolments;
-
facilitator illness or emergency;
-
venue unavailability;
-
technology failure;
-
public health requirements;
-
severe weather;
-
safety concerns; or
-
another event beyond EIDA’s reasonable control.
Where EIDA cancels the entire Program and does not provide a reasonable alternative, the Participant may choose:
-
a full refund of Fees paid for the cancelled Program; or
-
a transfer or credit towards another EIDA Program.
Where EIDA cancels only part of a Program, EIDA may provide:
-
a replacement session;
-
an alternative facilitator;
-
equivalent online delivery;
-
substitute content of comparable value;
-
a proportionate credit; or
-
a proportionate refund for the undelivered component.
19. Certificates and completion
A certificate may be issued where the Participant satisfies the published completion requirements.
Requirements may include:
-
minimum attendance;
-
completion of specified activities;
-
appropriate conduct;
-
payment of all Fees; and
-
completion of feedback or reflection requirements.
EIDA may describe the document as a Certificate of Completion or Certificate of Participation.
A certificate does not guarantee employment, promotion, academic credit, registration or membership of a professional body.
20. No guaranteed outcomes
EIDA does not guarantee:
-
employment;
-
internships;
-
placements;
-
interviews;
-
promotion;
-
income;
-
business revenue;
-
portfolio acceptance;
-
academic results;
-
professional registration;
-
admission to a later Program level; or
-
any particular career outcome.
Outcomes depend on factors outside EIDA’s control, including the Participant’s qualifications, portfolio, conduct, effort, experience, market conditions and available opportunities.
Statements regarding possible outcomes are expressions of educational intention, not guarantees.
21. Industry opportunities and introductions
EIDA may occasionally share employment opportunities, introduce participants to industry contacts or invite participants to submit work.
Unless expressly stated in writing:
-
no introduction is guaranteed;
-
no placement is promised;
-
EIDA does not act as an employment agency;
-
employers retain sole discretion over recruitment;
-
the Participant is responsible for their own application; and
-
EIDA is not responsible for an employer’s actions, decision or employment conditions.
22. Professional boundaries
The Program provides education, coaching and mentoring.
It is not a substitute for:
-
legal advice;
-
financial advice;
-
psychological or medical treatment;
-
formal counselling;
-
employment law advice;
-
human resources investigation;
-
architectural or engineering certification; or
-
services requiring registration or a professional licence.
Participants should obtain advice from an appropriately qualified professional where required.
23. Intellectual property
All intellectual property in the Program and Program Materials remains owned by EIDA or its licensors.
On full payment of the Fees, EIDA grants the Participant a limited, personal, non-exclusive, non-transferable and revocable licence to use the Program Materials for their own education and professional development.
The Participant must not, without prior written consent:
-
reproduce or distribute Program Materials;
-
upload Program Materials to a shared drive or online platform;
-
sell, license or sublicense Program Materials;
-
teach or deliver EIDA content to others;
-
create a competing course substantially derived from EIDA materials;
-
remove branding or copyright notices;
-
use EIDA frameworks as their own proprietary methodology;
-
provide access to another person; or
-
use Program Materials to train artificial intelligence systems.
The Participant may use completed personal exercises in their own career planning, provided confidential information and EIDA proprietary content are not publicly reproduced.
24. Participant work
The Participant retains ownership of original work they create independently.
The Participant grants EIDA a limited licence to review, discuss, annotate and display that work within the private Program for educational purposes.
EIDA will not publicly use identifiable Participant work for marketing without consent.
The Participant warrants that work submitted does not knowingly infringe another person’s intellectual property or confidentiality rights.
25. Confidentiality
Participants may receive confidential information concerning:
-
other participants;
-
EIDA;
-
businesses;
-
clients;
-
projects;
-
workplaces;
-
case studies;
-
commercial practices; or
-
guest contributors.
The Participant must not disclose confidential information outside the Program without permission.
This obligation does not apply to information that:
-
is publicly available other than through breach;
-
was lawfully known to the Participant;
-
is independently developed; or
-
must be disclosed by law.
Participants should avoid sharing information that would breach obligations owed to an employer, client, university or third party.
26. Recordings
Participants must not photograph, film, screen-record, audio-record or reproduce a session without prior written consent.
EIDA may record a session where participants have been notified in advance.
Where a recording is provided:
-
access is personal;
-
access may be time limited;
-
downloading may be restricted;
-
sharing is prohibited; and
-
EIDA may edit or withhold sections involving confidential discussion.
A Participant who does not wish to appear in a recording should notify EIDA before the relevant session.
27. Privacy
EIDA handles personal information in accordance with its Privacy Policy and applicable privacy law.
Information may be collected for:
-
assessing applications;
-
administering enrolments;
-
processing payments;
-
delivering the Program;
-
communicating with Participants;
-
monitoring attendance;
-
providing certificates;
-
responding to concerns;
-
improving services; and
-
meeting legal obligations.
EIDA may use reputable third-party providers for payments, video conferencing, email, file storage, learning management and administration.
28. Testimonials and marketing
Participation does not automatically give EIDA permission to use a Participant’s name, image, testimonial, work or personal story for public marketing.
EIDA will seek separate consent before identifiable use.
A Participant may withdraw marketing consent for future use by written notice, although this may not require EIDA to recall materials already lawfully printed or published.
29. Technology and third-party platforms
The Participant is responsible for maintaining:
-
a suitable device;
-
stable internet access;
-
current contact information;
-
compatible software; and
-
a safe and appropriate environment for virtual sessions.
EIDA is not responsible for temporary interruption caused by a Participant’s equipment, internet connection or third-party platform outage outside EIDA’s reasonable control.
EIDA will take reasonable steps to provide an alternative where a significant EIDA-side failure prevents delivery.
30. Consumer rights
Nothing in these Terms excludes, restricts or modifies a right, guarantee, condition, warranty or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.
Where EIDA is permitted to limit a remedy for failure to comply with a consumer guarantee, EIDA’s liability may be limited, at EIDA’s option, to supplying the services again or paying the reasonable cost of having the services supplied again.
This limitation does not apply where it would be unlawful or where the services are ordinarily acquired for personal, domestic or household use or consumption and the law does not permit the limitation.
31. Limitation of liability
To the maximum extent permitted by law:
-
EIDA is not liable for indirect, incidental, special or consequential loss;
-
EIDA is not liable for loss caused by reliance on general educational content without obtaining appropriate professional advice;
-
EIDA is not liable for an employer’s, institution’s, supplier’s or third party’s conduct;
-
EIDA is not liable for loss caused by information the Participant failed to disclose; and
-
EIDA’s aggregate contractual liability is limited to the Fees paid for the affected Program.
These limitations do not apply to liability that cannot lawfully be excluded, including liability arising from fraud, wilful misconduct or any non-excludable statutory right.
32. Participant responsibility and indemnity
The Participant remains responsible for their own decisions and conduct.
To the extent permitted by law, the Participant indemnifies EIDA against third-party claims arising directly from:
-
the Participant’s unlawful conduct;
-
the Participant’s unauthorised distribution of Program Materials;
-
material submitted by the Participant that infringes third-party rights; or
-
the Participant’s breach of confidentiality.
The indemnity is reduced to the extent that EIDA caused or contributed to the relevant loss.
33. Suspension and termination
EIDA may suspend or terminate enrolment where the Participant:
-
seriously or repeatedly breaches these Terms;
-
fails to pay Fees after reasonable notice;
-
behaves unlawfully or unsafely;
-
materially disrupts the Program;
-
misuses Program Materials;
-
breaches confidentiality; or
-
poses a material risk to another person.
Termination does not affect rights accrued before termination.
Where termination results from the Participant’s serious breach, any refund will be determined according to the services already provided, loss reasonably incurred and applicable law. Termination will not operate as an unlawful penalty.
34. Complaints
A Participant should first raise a concern by emailing info@foscollective.com.au.
EIDA will:
-
acknowledge the complaint within a reasonable period;
-
review the relevant information;
-
provide an opportunity for the Participant to explain their concern;
-
attempt to respond within 14 business days where practicable; and
-
propose a reasonable resolution where appropriate.
Nothing prevents a Participant from contacting NSW Fair Trading, the Australian Competition and Consumer Commission or another relevant authority.
35. Dispute resolution
Before commencing court proceedings, the parties must attempt to resolve a dispute through good-faith discussion.
If unresolved within 20 business days, either party may propose mediation in Sydney, New South Wales, with the mediator agreed between the parties.
This clause does not prevent urgent injunctive relief, debt recovery or the exercise of a statutory right.
36. General provisions
Notices
Formal notices must be sent by email to the address most recently provided by the receiving party.
Assignment
The Participant cannot transfer their enrolment or rights without EIDA’s written consent.
EIDA may assign the agreement as part of a genuine business sale or restructure, provided this does not materially reduce the Participant’s rights.
Severability
If part of these Terms is invalid or unenforceable, it is to be read down or severed to the minimum extent necessary. The remaining provisions continue.
Waiver
A delay in enforcing a right does not waive that right.
Entire agreement
The contractual documents listed in clause 2 constitute the entire agreement concerning the Program.
Changes to these Terms
The version accepted at enrolment applies to that enrolment.
EIDA may update its terms for future enrolments. EIDA will not retrospectively impose a material adverse change on an existing Participant without agreement or a lawful basis.
Electronic acceptance
The agreement may be accepted electronically and in counterparts.
37. Governing law
These Terms are governed by the laws of New South Wales, Australia.
The parties submit to the non-exclusive jurisdiction of the courts and tribunals of New South Wales and any courts entitled to hear appeals from them.
